These Terms and Conditions govern the use of the services provided by RNP Logics Information Technologies L.L.C., including software development, IT infrastructure services, cybersecurity, managed services, and technology solutions. By accessing or using our services, you agree to these terms. If you do not agree, you may not use our services.
Services Provided
RNP Logics Information Technologies L.L.C. provides a wide range of technology solutions, including but not limited to:
- Custom software development
- Communication system solutions
- Integration of IT environments
- Cybersecurity services
- Managed IT services and proactive support
- Cloud deployment and infrastructure solutions
- Network setup, monitoring, and optimization
- IT consulting and implementation services
Payment Terms
- Payments are due within 3 days of the invoice date unless otherwise stated.
- Late payments may incur a 15% monthly late fee on the total invoice amount.
- RNP Logics reserves the right to suspend or terminate services for overdue payments.
- All prices are quoted exclusive of applicable taxes, unless mentioned otherwise.
Client Responsibilities
- The Client must provide accurate and complete information required for service delivery.
- The Client must maintain a secure IT environment and follow security guidelines provided by RNP Logics.
- Unless a backup service is included in the agreement, the Client is responsible for ensuring all data backups.
Confidentiality
- Both parties agree to maintain strict confidentiality of business data, proprietary information, and all materials marked confidential.
- No confidential information may be shared with third parties without written consent.
Service Availability
- RNP Logics will make reasonable efforts to ensure continuous service availability but does not guarantee uninterrupted service.
- Scheduled upgrades or maintenance may cause temporary downtime, which will be communicated in advance.
- Standard support hours are 9:30 AM – 5:30 PM, Monday to Saturday.
- Services are not available on weekends and public holidays unless specified in the agreement.
Limitation of Liability
- RNP Logics shall not be liable for indirect, incidental, or consequential damages arising from use or inability to use the services.
- Total liability is limited to the amount paid by the Client for the specific service in question.
Termination
- Either party may terminate the agreement with 30 days’ written notice, providing a valid reason.
- RNP Logics may immediately terminate services if the Client violates these terms or engages in unlawful activities.
- Once a cancellation request is received, it will be acknowledged within 3 business days.
- Any unused service period will be calculated, and a credit note will be issued accordingly.
- All outstanding fees must be paid before termination is finalized.
Intellectual Property Rights
- All intellectual property, software, documentation, and tools developed or provided by RNP Logics remain the company’s property.
- The Client receives a non-exclusive, non-transferable license for internal business use only.
Governing Law
These Terms and Conditions are governed by the laws of Dubai, UAE.
All disputes will fall under the exclusive jurisdiction of Dubai courts.
Modifications to Terms
RNP Logics may update or modify these Terms and Conditions at any time.
Changes become effective upon posting on our website or notifying the Client.
Continued use of services indicates acceptance of updated terms.
Refund Policy
- All payments made for services are non-refundable under all circumstances.
- In case of early termination, disputes, or service adjustments, a credit note may be issued for any unused service duration.
- Credit notes can be used for future services within 12 months of issuance.
Credit Note Policy
- Credit notes are issued only if the Client is not in breach of contract and has provided termination notice within the agreed timeframe.
- All outstanding dues must be settled before a credit note is issued.
- Credit notes are non-transferable and valid for 12 months.
- Ongoing or completed services are not eligible for refunds or credit notes.
Force Majeure
RNP Logics is not liable for delays or service failures caused by events beyond reasonable control, such as natural disasters, wars, strikes, or technical outages.
Data Protection
- RNP Logics is committed to maintaining the privacy and security of Client data.
- Personal data will be processed in accordance with applicable laws and our Privacy Policy.
Support and Maintenance
- Support is provided during standard business hours as defined in the service agreement.
- Emergency or after-hours support may carry additional charges based on the agreement.
